Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and Oak Vine Partners, LLC ("Company," "we," "us") governing your use of OakVine Connect (the "Service") — a connector that lets an AI assistant (currently Anthropic's Claude) interact with your GoHighLevel ("GHL") sub-account(s) on your behalf. By creating an account, subscribing, or connecting a sub-account, you agree to these Terms.

1. What the Service is (and is not)

The Service is a conduit. You supply your own GHL sub-account(s) and your own GHL Private Integration Token(s) ("PIT"); the Service injects your credentials into requests you (or your AI assistant, at your direction) make to GHL. We are not GoHighLevel and not Anthropic, and we are not affiliated with, endorsed by, or acting for either. Your use of GHL and of Claude remains subject to their own terms. We do not provide the CRM, the AI model, or your data — we connect them at your instruction.

2. Eligibility and accounts

You must be 18+ and able to form a binding contract. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your login and your connection code(s), and for all activity under your account. Notify us promptly at jfrost@oakvinepartners.com of any unauthorized use.

3. Your credentials and your authorization

• You represent and warrant that you own or are authorized to administer each GHL sub-account you connect, and that you have the right to grant the access described here.
• By connecting a sub-account, you authorize us to store your PIT and location ID and to use them to make GHL API calls that you or your AI assistant initiate. We store PITs encrypted at rest and use them solely to fulfill your requests.
• You may remove a connection or rotate/revoke a PIT at any time; doing so ends our ability to act on that sub-account.
• You are responsible for the scopes you grant on your PIT. Over-scoping is your choice and your risk.

4. AI-initiated actions — your responsibility

The Service may let your AI assistant read from and write to your GHL — including creating contacts, notes, tasks, calendars, and sending outbound email and SMS to your contacts.

• You are solely responsible for every action taken through your account, including all outbound messages, regardless of whether you, a teammate, or an AI assistant initiated them.
• The Service provides a confirmation step for outbound/side-effecting actions as a safety aid. It is a convenience, not a guarantee; you must review and approve outbound content and recipients.
• You are solely responsible for legal compliance of your messaging and data practices, including without limitation CAN-SPAM, TCPA, CASL, GDPR, CCPA/CPRA, and obtaining and honoring consent and opt-outs (including GHL DND). We do not provide legal review of your campaigns.

5. Subscriptions, seats, and billing

• The Service is sold on a per-seat subscription (one seat ≈ one connected sub-account). Pricing and seat quantity are shown at checkout and billed through Stripe.
• Subscriptions auto-renew each billing period until canceled. You authorize recurring charges to your payment method.
• Your connections stay active only while your subscription is active and paid. If a payment fails or you cancel, we may deactivate seats in excess of your paid quantity, and deactivate all seats when the subscription lapses.
• Except where required by law, fees are non-refundable; canceling stops future renewals but does not refund the current period. You manage or cancel your subscription through the customer billing portal.
• We may change pricing prospectively with notice before your next renewal.

6. Acceptable use

Your use is subject to our Acceptable Use Policy (`acceptable-use-policy.md`), incorporated by reference. In short: nothing illegal, no spam or unsolicited messaging, respect opt-outs, don't abuse the APIs, and don't use the Service in violation of GoHighLevel's or Anthropic's terms.

7. Third-party services

The Service depends on GoHighLevel and Anthropic. We are not responsible for their availability, changes, rate limits, suspensions, pricing, or acts/omissions. If they change or discontinue their APIs, the Service may be affected. Your relationships with them are governed by their agreements, not these Terms.

8. Data

Our handling of personal data is described in our Privacy Policy (`privacy-policy.md`). As between the parties, you are the controller of the contact and CRM data in your GHL, and we act as a processor handling it only to provide the Service at your direction. You represent you have the necessary rights and consents for that data.

9. Intellectual property

We retain all rights in the Service, its software, and its documentation. You retain all rights in your data. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, reverse-engineer, resell, or sublicense the Service except as expressly permitted in writing.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS OR ACTIONS WILL BE ACCURATE OR APPROPRIATE. AI CAN MAKE MISTAKES; YOU ARE RESPONSIBLE FOR REVIEWING ITS ACTIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold us harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from: (a) your data or your contacts' data; (b) your messages or campaigns; (c) your violation of law or these Terms; or (d) your use of GoHighLevel or Claude through the Service.

13. Suspension and termination

We may suspend or terminate your access for violation of these Terms or the AUP, non-payment, or to protect the Service or third parties. You may terminate anytime by canceling and removing your connections. On termination we deactivate your connections and delete or de-identify your stored credentials within a reasonable period.

14. Changes

We may update these Terms; material changes will be posted at https://connect.oakvinepartners.com and/or emailed. Continued use after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules.
